PRIMARY AREAS OF PRACTICE

Eliot Goldstein concentrates his practice on wills, trusts, estate planning, estate administration, estate litigation, guardianships, real estate, business planning, and commercial law.

REPRESENTATIVE EXPERIENCE

With 37 years of experience, Eliot has helped numerous clients to protect their families with strategic estate planning.  His expertise includes guiding clients in assessing the tax implications and consequences of their planning decisions, and implementing planning techniques designed to minimize taxes while maximizing distributions to heirs.  Eliot also assists clients with probate and estate administration, and he has extensive experience representing fiduciaries and beneficiaries before the courts during estate litigation.  In addition, Eliot assists individuals seeking to become guardians for loved ones who are unable to care for themselves and/or their assets because of mental or physical incapacity.

In the area of real estate, Eliot represents numerous clients with regard to residential and commercial purchases, sales, refinancing, and leases.

In the area of business planning, Eliot’s clients include many small and medium-sized closely held businesses.  His counseling expertise includes formation of new entities, purchases of existing businesses, and negotiations with third parties, financial institutions, and government agencies.  Eliot prepares all internal governance documentation, including corporate by-laws, meeting minutes, employment agreements, independent contractor agreements, shareholder agreements, operating agreements and buy/sell agreements.  Eliot is especially attuned to the unique circumstances and dynamics associated with transferring a family-owned business from one generation to another. The family’s needs and objectives are taken into consideration and weighed in conjunction with income, gift, and estate tax implications.

EDUCATIONAL AND PROFESSIONAL BACKGROUND

Eliot graduated Magna Cum Laude from Syracuse University College of Law, where he served as Executive Editor of the Syracuse Law Review and was a member of the Justinian Honorary Society.  He also holds a B.A. in Political Economy from Johns Hopkins University.  He is licensed to practice law in New Jersey and New York, as well as before multiple Federal courts.  He is a member of the NJ Bar Association and the Somerset County Bar Association.

PROFESSIONAL AND COMMUNITY AFFILIATIONS

Eliot has served the community in numerous roles, including past positions as Director of Court Appointed Special Advocates for Somerset, Hunterdon & Warren Counties, Director of the Somerset County Business Partnership, President of the Greater Middlesex/Somerset Estate Planning Council, President of the Somerville & Bridgewater Rotary Club, Director & General Counsel for the Tourette Syndrome Association of New Jersey, and Member of the Advisory Board for the Skylands Small Business Development Center.
